Terms of Service

1. Agreement to Terms

These Terms of Service govern access to and use of the OK2Source AI website, application, and related services. By accessing or using the services, you agree to these terms. If you use the services on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

OK2Source provides software for hardware procurement workflows, including quote intake, document processing, supplier quote analysis, and related sourcing operations. We may update, improve, suspend, or discontinue parts of the service from time to time.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. You must provide accurate account information and promptly notify us of unauthorized access or security concerns.

4. Acceptable Use

• Do not use the service in violation of law or third-party rights.
• Do not upload malicious code, attempt unauthorized access, or interfere with service operation.
• Do not reverse engineer, scrape, benchmark for competitive purposes, or misuse the service except where allowed by law or written agreement.
• Do not submit data you do not have the right to process through the service.

5. Customer Content

You retain ownership of files, data, and other content you submit to the service. You grant OK2Source the rights needed to host, process, transmit, and display customer content to provide and improve the service, maintain security, and support requested workflows.

6. AI and Output

The service may use AI systems to extract, classify, summarize, or analyze supplier and procurement information. AI-generated outputs may be incomplete or inaccurate. You are responsible for reviewing outputs before relying on them for purchasing, sourcing, financial, legal, or operational decisions.

7. Confidentiality

Each party may receive non-public business, technical, or commercial information from the other party. The receiving party will use reasonable care to protect confidential information and use it only for purposes related to the service, except where disclosure is required by law.

8. Fees and Commercial Terms

Paid use of the service may be governed by an order form, subscription agreement, or other written agreement. If there is a conflict between these Terms and a signed agreement, the signed agreement controls for the conflicting terms.

9. Third-Party Services

The service may integrate with or depend on third-party providers for hosting, authentication, form collection, email, storage, analytics, AI processing, and other operations. Your use of third-party services may be subject to their separate terms and policies.

10. Disclaimers

The services are provided "as is" and "as available" to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law, OK2Source will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. Any aggregate liability will be limited to the amount paid for the service in the twelve months before the claim, or one hundred dollars if no amount was paid.

12. Termination

We may suspend or terminate access if you violate these Terms, create security or legal risk, or if required by law. You may stop using the service at any time. Terms that by their nature should survive termination will survive.

13. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the service after updates means you accept the updated Terms.
